Terms of Service

These Terms of Service ("Terms") govern your access to and use of the SmartHighlights sports video platform, the website at https://smarthighlights.ai, our applications, and related services (collectively, the "Service"), operated by SmartHighlights ("SmartHighlights," "we," "us," or "our").

By creating an account, subscribing, or using the Service, you agree to these Terms. If you are using the Service on behalf of a club, college, team, or other organization, you represent that you are authorized to bind that organization. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old to create an account and subscribe. The Service is intended for coaches, clubs, colleges, event operators, and other adults responsible for sports video.

2. The Service

SmartHighlights provides software to record, manage, remotely control, stream, and share sports video using mobile devices (phones) you supply, together with related dashboard and management tools. Some advertised capabilities — including AI-powered highlights, summaries, transcripts, and analytics — are planned for future releases and are not guaranteed to be available at any particular time. We may modify, add, suspend, or discontinue features at any time.

Pilot / early-access. Parts of the Service may be offered on a pilot, beta, or early-access basis. Such features are provided "as is," may be incomplete or change without notice, and may be withdrawn.

3. Accounts

You agree to provide accurate information, keep your credentials secure, remain responsible for activity under your account, and notify us promptly of unauthorized use. We may suspend or terminate accounts that violate these Terms.

4. Subscriptions, billing, and equipment

  • Subscription model. Recording is offered on a per-device (per-phone) subscription. As described on our pricing page, the subscription is billed for six (6) months but provides access and storage management across the year. Current pricing is shown at checkout and may change with notice.
  • Billing and renewal. You authorize us and our payment processor to charge your selected payment method for applicable fees. Subscriptions renew automatically for successive terms unless you cancel before the renewal date. You may cancel at any time through your account settings or by contacting contact@smarthighlights.ai; cancellation takes effect at the end of the current paid term.
  • Refunds. Except where required by law, fees are non-refundable, including for partial terms or unused access.
  • Equipment. You are responsible for providing and maintaining your own phones and accessories. Any equipment estimates or recommendations we provide (for example, a typical multi-phone setup) are guidance only; we do not warrant third-party hardware, and purchases from third parties are governed by those sellers' terms. Where we provide a custom deployment quote, additional terms may apply.
  • Connectivity and power. You are responsible for the network connectivity (including cellular data) and power needed to operate your devices.

5. Your content, storage, and ownership

  • You own your content. You retain all rights to the video and other content you record ("Your Content"). The Service is designed so that Your Content is stored on your devices or in your own cloud storage (such as your Google Drive) — not in a SmartHighlights cloud.
  • Your responsibility for storage and backups. Because we do not store Your Content, you are solely responsible for its storage, security, retention, and backup. We are not liable for any loss, deletion, or corruption of content we do not hold.
  • Limited license to operate features. To the extent a feature requires us to process Your Content on your behalf (for example, streaming relays or future AI processing), you grant us a limited, non-exclusive license to process that content solely to provide the feature to you.

6. Recording, consent, and legal compliance (important)

You are solely responsible for ensuring that your recording, storage, streaming, and sharing of video is lawful. In particular, you agree that:

  • You will obtain all necessary permissions and consents to record, store, and share footage of individuals, including minors, and including consent from parents or legal guardians where required.
  • You will comply with all applicable privacy, data protection, biometric, publicity/likeness, and recording laws, as well as school, league, venue, and event rules.
  • You will not use the Service for unlawful surveillance, harassment, or any recording in locations or circumstances where it is prohibited or where individuals have a reasonable expectation of privacy.

You are the party responsible to the individuals you record. You agree to indemnify us for claims arising from your recordings or your failure to obtain required consents (see Section 11).

7. Acceptable use

You agree not to: use the Service unlawfully or fraudulently; infringe others' rights; upload malware; attempt unauthorized access; interfere with or overload the Service; scrape or harvest data without authorization; reverse engineer the Service except as permitted by law; or misrepresent your identity or authority.

8. Third-party services and integrations

The Service integrates with third-party services, including Google Drive for storage. Your use of those services is governed by their own terms and policies, and our use of Google user data complies with the Google API Services User Data Policy. We are not responsible for third-party services we do not control.

9. Intellectual property

The Service — including its software, design, text, graphics, and logos (excluding Your Content) — is owned by SmartHighlights or its licensors and is protected by law. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose. You may not copy, modify, distribute, sell, or lease any part of the Service except as expressly permitted.

10. Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, that streaming will be reliable in all locations, or that planned features will be released. You are responsible for verifying that recordings are capturing and saving as intended.

11. Limitation of liability

To the maximum extent permitted by applicable law, SmartHighlights and its affiliates, officers, employees, and agents will not be liable for any damages of any kind arising out of or relating to your use of, or inability to use, the Service — including direct, indirect, incidental, special, consequential, exemplary, or punitive damages, and including any loss of profits, data, video or other content, business, or goodwill — even if we have been advised of the possibility of such damages. This includes any loss of any video content that we do not store. You use the Service at your own risk.

12. Indemnification

You agree to indemnify and hold harmless SmartHighlights and its affiliates from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Service, Your Content, your recordings of individuals (including minors), your failure to obtain required consents, or your violation of these Terms or applicable law.

13. Termination

We may suspend or terminate your access at any time for violation of these Terms or as otherwise permitted. You may cancel your subscription as described in your account settings. Upon termination, your right to use the Service ends; Your Content remains in your own storage. Sections that by their nature should survive (ownership, consent responsibilities, disclaimers, limitation of liability, and indemnification) will survive.

14. Governing law and disputes

These Terms are governed by the laws of the State of New Jersey, United States, without regard to conflict-of-law principles. You agree that any dispute relating to the Service will be resolved exclusively in the state or federal courts located in New Jersey, and you consent to their jurisdiction.

15. Changes to these Terms

We may update these Terms from time to time. We will post the updated version with a revised "Last updated" date and communicate material changes through the Service or by email where appropriate. Continued use after changes take effect constitutes acceptance.
